Foreword

The end of 1999 marked the end of the first four-year period of appointment for the members of the Danish Securities Council. In 1999, the Danish Securities Council continued work on reissuing the Executive Orders which were issued when the Council was set up in 1996, and work continued on the basic framework for the Danish securities market.

Within the securities-market area, 1999 saw the introduction of the electronic trading system at the Copenhagen Stock Exchange, new obligations to disclose information for issuers of listed securities, and the Danish Securities Council Executive Order on obligations to submit offers and voluntary take-over bids.

The Danish Securities Council discussions regarding transparency and other fundamental principles within the securities market have also continued in 1999. Moreover, the Council has been involved in a series of specific matters, which are described in more detail in this Report.

The Danish Securities Council will continue to work for expedient and well functioning development within the securities market, particularly in light of developments at European level.

This Annual Report for 1999 covers the period 1 April to 31 December 1999. The activities of the Council from 1 January to 31 March 1999 are included in the Annual Report for 1998.
